Hong Kong Company Secretaries and Incorporation: Eligibility, Process and Timing

A Hong Kong company secretary has a role in corporate governance and statutory filing arrangements. When choosing a service, check the appointment requirements, whether the provider needs a TCSP licence, and who handles annual maintenance and changes. Incorporation, bank account opening and business-specific permissions require separate arrangements.

Does a company secretary need a licence?

Distinguish the requirements for appointment from licensing a service business. A company secretary who is a natural person must ordinarily reside in Hong Kong. A corporate secretary must have its registered office or place of business in Hong Kong. The sole director of a private company cannot also be that company’s secretary. Separately, carrying on a trust or company service business in Hong Kong requires a TCSP licence unless an exemption applies. The title “company secretary” alone does not mean every individual personally holds the same type of licence. What information is needed for incorporation?

For a local private company limited by shares, start with the proposed name, shares and shareholders, first directors and company secretary, Hong Kong registered office and articles of association. The incorporation form and articles must be submitted as required. The Companies Registry provides a one-stop incorporation and business registration service. Incomplete information or a name requiring further consideration can affect processing. How long does registration take?

Plan document preparation, provider due diligence, government processing and later bank account opening separately. The Companies Registry states that a straightforward private company limited by shares can normally be incorporated electronically within one hour if the proposed name needs no further consideration and the information passes system validation. This is not a promise covering the whole process from the first enquiry. It does not include bank account opening, industry permissions or requests for further information. Recheck the official processing conditions before submission and ask the provider to identify outstanding prerequisites.

What should ongoing secretarial services cover?

Agree in writing who maintains statutory records, handles annual returns and changes to directors or secretaries, and manages the registered address and official correspondence. The Companies Registry lists general filing requirements by company type and matter. A package described as an “annual review” should not be assumed to cover every statutory obligation. Establish whether audit, tax returns, beneficial ownership work and bank account assistance are separate services or charges.
