Hong Kong Company Audit and Tax Filing: Annual Duties and Tax Residence
Accounting, audit and tax filing for a Hong Kong company involve different responsibilities. Organise the records and supporting documents, prepare the financial statements, and arrange the applicable audit and tax filing. An individual’s tax residence, a company’s tax residence and the tax treatment of a particular income item are separate questions.
Does a Hong Kong company need an annual audit?
Companies subject to the relevant financial reporting provisions of the Hong Kong Companies Ordinance generally need audited financial statements. The Companies Registry explains that companies qualifying for simplified reporting still require an audit, with an exception for dormant companies. Having no turnover or not receiving a tax return should not be taken to mean that a company has lawfully become dormant. Dormant status must be checked against the statutory procedures and conditions in the Companies Registry’s dormant company questions. See the Companies Registry’s accounts and audit questions.
The Inland Revenue Department also explains that a letter temporarily relieving a corporation from submitting annual profits tax returns does not remove its annual audit obligations under the Companies Ordinance. Question 13 of the profits tax return guidance distinguishes these duties.
How should accounting, audit and tax filing fit together?
- Build a document pack. Collect bank statements, sales and purchase documents, contracts, payroll, inventory, fixed asset and related-party transaction information. Identify missing records.
- Prepare and review the accounts. Confirm the accounting period, balances and significant transactions. Separate company transactions from shareholders’ personal expenditure.
- Arrange the applicable audit. Clarify the boundary between bookkeeping and audit responsibilities, and allow time for confirmations and further documents.
- Prepare the tax computation and return. Check the return, required supplementary forms and supporting documents, and plan around the deadline in the notice.
- Follow up and retain records. Review assessments, payments and enquiries, with an identified owner for each task.
This is a preparation sequence, rather than a fixed price or completion timetable. In question 11 of its profits tax return guidance, the Inland Revenue Department explains that an engaged service provider must obtain the taxpayer’s written confirmation that the information is correct and complete. Engagement of a provider therefore does not replace verification of the records.
How do individual and company tax residence differ?
First establish why residence is being assessed. For automatic exchange of financial account information (AEOI), an individual’s criteria involve ordinary residence or presence in Hong Kong during specified periods. Company criteria involve incorporation or, for companies incorporated outside Hong Kong, being normally managed or controlled in Hong Kong. These are separate assessments: a company’s place of incorporation is not proof of a shareholder’s personal tax residence. See the Inland Revenue Department’s residence and tax identification guidance.
For a claim to tax treaty benefits, check the relevant agreement and certificate of resident status requirements. The Department states that receiving a certificate does not guarantee treaty benefits; the treaty partner ultimately assesses whether the conditions are met. See the certificate of resident status guidance.
